We will process yourPersonal Data for the purposes of preventing harm to Genomeessentials orany of its subsidiaries, their products or services or to any person orproperty (e.g., fraud prevention) and/or in the bringing or prosecution of aclaim or potential claim against you. In addition, we may process your PersonalData for the purposes of defending Genomeessentials and/or itssubsidiaries against claims or potential claims made against one or more ofthem.

HOW DO WE SHARE PERSONAL DATA?
We engage other companies,including, without limitation, certain of our affiliates and subsidiaries(“Agents”), to perform certain services on our behalf. Pursuant to writtenagreements with these Agents, which agreements afford appropriate, and all required,protections of your Personal Data, we use these Agents to provide the followingservices on our behalf:

All of our Agents are bound bycontract to refrain from using your Personal Data for any purpose other thanproviding the applicable service to us. We are liable to you for our Agentsappropriate processing of your Personal Data in a manner consistent with thisPrivacy Policy and applicable data privacy laws and regulations.
As described above, we useAgents to manage our advertising on other websites. These Agents may usecookies or similar technologies in order to provide you with advertising basedupon your browsing activities and interests. Any personally identifiable informationgathered by these Agents is not provided by the Agents to Genome essentials. Itis only used by the applicable Agent pursuant to its own privacy policies. · DeletionRequest Rights. You have the right to request that we delete any of yourpersonal information that we collected from you and retained, subject tocertain exceptions. · Engagein public or peer-reviewed scientific, historical, or statistical research inthe public interest that adheres to all other applicable ethics and privacylaws, when the information’s deletion may likely render impossible or seriouslyimpair the research’s achievement, if you previously provided informed consent
· Enablesolely internal uses that are reasonably aligned with consumer expectationsbased on your relationship with us;
· Complywith a legal obligation, and;
· Makeother internal and lawful uses of that information that are compatible with thecontext in which you provided it.

Only you, or a personregistered with the California Secretary of State that you authorize to act onyour behalf, may make a verifiable consumer request related to your personalinformation. You may also make a verifiable consumer request on behalf of yourminor child.
You may only make a verifiableconsumer request for access or data portability twice within a 12-month period.The verifiable consumer request must:
· Providesufficient information that allows us to reasonably verify you are the personabout whom we collected personal information or an authorized representative,and;
· Describeyour request with sufficient detail that allows us to properly understand,evaluate, and respond to it.
We cannot respond to yourrequest or provide you with personal information if we cannot verify youridentity or authority to make the request and confirm the personal informationrelates to you.
Making a verifiable consumerrequest does not require you to create an account with us.
We will only use personalinformation provided in a verifiable consumer request to verify the requestor’sidentity or authority to make the request.
· ResponseTiming and Format. We endeavor to respond to a verifiable consumer requestwithin forty-five (45) days of its receipt. If we require more time (up toninety (90) days), we will inform you of the reason and extension period inwriting.
If you have an account with us,we will deliver our written response to that account. If you do not have anaccount with us, we will deliver our written response by mail orelectronically, at your option.
Any disclosures we provide willonly cover the twelve (12)-month period preceding the verifiable consumerrequest’s receipt. The response we provide will also explain the reasons wecannot comply with a request, if applicable. For data portability requests, wewill select a format to provide your personal information that is readilyuseable and should allow you to transmit the information from one entity toanother entity without hindrance.
We do not charge a fee toprocess or respond to your verifiable consumer request unless it is excessive,repetitive, or manifestly unfounded. If we determine that the request warrantsa fee, we will tell you why we made that decision and provide you with a costestimate before completing your request.
· NoPersonal Information Sales. We do not sell any personal information thatwe collect or use.
We will not discriminateagainst you for exercising any of your CCPA rights. Unless permitted by theCCPA, we will not:
· Denyyou goods or services;
· Chargeyou different prices or rates for goods or services, including through grantingdiscounts or other benefits, or imposing penalties;
· Provideyou a different level or quality of goods or services, or;
· Suggestthat you may receive a different price or rate for goods or services or adifferent level or quality of goods or services.
However, we may offer youcertain financial incentives permitted by the CCPA that can result in differentprices, rates, or quality levels. Any CCPA-permitted financial incentive weoffer will reasonably relate to your personal information’s value to us andcontain written terms that describe the program’s material aspects.Participation in a financial incentive program requires your prior opt inconsent, which you may revoke at any time.
HOW WE PROTECT PERSONAL DATA
Genome Essentials maintainsreasonable and appropriate technical and organizational security measuresdesigned to help protect against loss, misuse, and alteration of Personal Datacollected and processed by Genome Essentials. However, information transmittedon the Internet and/or stored on systems attached to the Internet is not 100%secure. As a result, we do not ensure, warrant or guarantee the security orintegrity of such information.
PRIVACY SHIELD COMPLIANCE
Genome Essentials complies withthe E.U.-U.S. Privacy Shield Principles and the Swiss-U.S. Privacy ShieldPrinciples, including the Supplemental Principles (collectively, the “PrivacyShield Principles”) as set forth by the U.S. Department of Commerce regardingthe collection, use and retention of personal data transferred from the E.U. tothe U.S. or from Switzerland to the U.S., respectively (the programs beingdescribed herein as the “Privacy Shield”). Genome Essentials has certified tothe Department of Commerce that it adheres to the Privacy Shield Principles. Ifthere is any conflict between the terms in the Privacy Policy and the PrivacyShield Principles, the Privacy Shield Principles shall govern.
